Fibra Mty doubles its strength with the acquisition of Fibra Macquarie

Fibra Mty expanded its scale in the Mexican industrial real estate market after completing the acquisition of 80.69% of Fibra Macquarie's certificates, an operation whose enterprise value exceeded MXN$48 billion and which became the largest tender offer in Mexico in more than a decade.

The transaction, completed on May 29, 2026, allowed Fibra Mty to incorporate 246 industrial and eight commercial properties from Fibra Macquarie, in addition to a joint venture of nine commercial properties with Frisa Desarrollos Comerciales. In total, the acquired portfolio comprises 3.4 million square meters of gross leasable area.

With this transaction, Fibra Mty's market capitalization exceeded US$4 billion, positioning it as the second-largest issuer of industrial real estate on the Mexican Stock Exchange. Furthermore, its book value per CBFI (Mexican Stock Exchange Investment Certificate) increased approximately 9% in US dollars, to US$0.76 per certificate.

At the close of the second quarter, Fibra Mty reported total assets of MXN$115.628 billion and a portfolio of 383 properties, of which 343 are industrial, 17 are office, and 23 are retail. Gross leasable area reached 5.58 million square meters, with an occupancy rate of 93.9%.

The acquisition of Fibra Macquarie also boosted financial results. During the second quarter, total revenues reached MXN$1,197.6 million, a year-over-year increase of 41.7%. Net operating income (NOI) totaled MXN$1,060 million, 38.2% higher than a year earlier, while adjusted EBITDA reached MXN$969.3 million, a growth of 37.9%.

FFO stood at MXN$891.9 million, 36.5% higher than the second quarter of 2025, while adjusted AFFO reached MXN$834.5 million, an increase of 32.5%.

Despite the growth, the debt level increased to 32.8% at the end of the quarter, up from 26.4% at the end of 2025. The company indicated that, considering available cash and its borrowing capacity, it has room to invest approximately US$680 million more in the industrial sector, with the goal of increasing its leverage to 35%.

The distribution for the second quarter amounted to MXN$1,094.4 million, equivalent to MXN$0.2278 per CBFI (Certificate of Real Estate Investment Trust), representing an annualized return of 6% compared to the certificate price at the beginning of the quarter.

Jorge Avalos Carpinteyro, CEO of Fibra Mty, stated that the transaction represents a turning point for the company, increasing its scale, diversification, and presence in the country's main manufacturing and logistics markets.

As part of the integration process, Fibra Mty also agreed with Macquarie Asset Management to internalize the management of Fibra Macquarie. The consideration for this agreement amounts to US$172.4 million, equivalent to MXN$3,017.9 million, and will be paid once the established conditions are met.

The transaction was also accompanied by improvements in Fibra Mty's credit ratings. S&P Global Ratings raised its global corporate rating from BBB- to BBB, with a stable outlook, while Fitch Ratings increased its long-term national rating and the CEBURE FMTY20D rating from AA+ to AAA, also with a stable outlook.

With the integration of Fibra Macquarie, Fibra Mty seeks to leverage the new scale of its platform to increase its investment capacity, strengthen its presence in the industrial market, and generate greater flows and value for its investors in the long term.
